1. Introduction


This Information Memorandum (“Memorandum”) outlines the proposed structure, objectives, membership framework, and operating principles of the Get Charlie Business Club (“the Club”).


The Club is being established as a collaborative business networking and trade opportunity platform designed to support members through shared leads, mentoring, training, and business development initiatives.



Its purpose is to foster a trusted and professional environment where members can expand their businesses, develop strategic relationships, and gain access to ongoing support from experienced professionals and industry participants.


2. Purpose of the Club


The primary objectives of the Club are to:


•  Generate new trade and business opportunities for members

•  Facilitate collaboration between businesses and professionals

•  Provide access to:

  • Business leads
  • Training facilities
  • Mentoring and advisory support
  • Professional business services

•  Promote ethical business practices and professional conduct

•  Support members in improving operational standards, health & safety compliance, and environmental responsibility


The Club operates as a member-focused ecosystem where opportunities, knowledge, and expertise are shared for the mutual benefit of all participants.


3. Membership Structure


3.1 Membership Fee


Members are required to pay a one-off membership fee of NZD $5,000 + GST upon acceptance into the Club.


This membership provides access to Club services and benefits for a period of five (5) years, subject to continued compliance with Club standards, policies, and annual review requirements. 


3.2 Membership Benefits


Members may receive access to:


  • Business and trade leads
  • Networking and collaboration opportunities
  • Mentoring and advisory sessions
  • Training and development resources
  • Industry partnerships and strategic alliances
  • Shared business resources and operational support
  • Approved external service providers where applicable


Services may be delivered either:


  • By fellow Club members, or
  • Through approved external providers engaged by the Club.


Certain services may incur additional fees as determined by the Club from time to time.


4. Lead Referral System


A key objective of the Club is to generate and distribute business opportunities amongst

members.



Where a member receives a lead through the Club network:

  • A lead administration fee of NZD $20 + GST per lead shall apply
  • Members retain 100% of the income generated from work secured through Clubreferrals less nominal payment processing charge.
  • The Club does not claim commissions or ownership over member earnings beyond the agreed lead fee structure
  • Clients referred through the Club network shall remain the intellectual property and relationship asset of the Club 

5. Member Conduct & Obligations


All members are expected to uphold high standards of professionalism, ethics, and conduct.

Members must:


  • Adhere to the Club’s Code of Conduct and Ethics
  • Act honestly, respectfully, and professionally at all times
  • Maintain positive and professional client relationships
  • Comply with all applicable health & safety obligations
  • Meet environmental and regulatory requirements
  • Protect and enhance the reputation and integrity of the Club
  • Maintain a high standard of personal presentation and workmanship
  • Engage with clients and fellow members respectfully and collaboratively
  • Work cooperatively with other Club members
  • Purchase materials and supplies through approved Club suppliers where required


Failure to comply with these standards may result in suspension, review, or termination of membership


6. Annual Membership Review


Although membership is described as “lifetime” for the applicable five-year term, all memberships remain subject to an annual performance and conduct review.

The review process may include assessment of:


  • Business performance and operational standards
  • Client feedback and reputation
  • Health & Safety compliance records
  • Environmental practices and obligations
  • Professional conduct and integrity
  • Compliance with Club policies and procedures


The purpose of the review process is to uphold the quality, professionalism, and reputation of the Club and its members. A review fee may apply to cover the cost of conducting these assessments.


7. Termination of Membership


Either party may terminate membership by providing thirty (30) days’ written notice.


The Club reserves the right to suspend or terminate membership where a member:

  • Breaches the Club’s Code of Conduct
  • Damages the reputation or integrity of the Club
  • Fails to comply with legal, regulatory, or safety obligations
  • Acts dishonestly, unethically, or unprofessionally
  • Fails to meet annual review standards


Any outstanding fees, obligations, or liabilities must be settled prior to termination taking effect


8. Nature of this Memorandum


This Information Memorandum is intended as a general overview of the proposed structure and operation of the Get Charlie Business Club.


It does not constitute legal, financial, or investment advice and may be amended or updated by the Club from time to time.


Formal membership agreements, operational policies, Codes of Conduct, and related governance documents may be issued separately upon acceptance into membership.

Prospective members are encouraged to seek independent legal and financial advice before joining the Club.


9. Conclusion


The Get Charlie Business Club is being established to create a collaborative, trusted, and growth-focused business community committed to professional excellence and long-term opportunity.

CODE OF CONDUCT

Get Charlie Business Club


1. Purpose


The purpose of this Code of Conduct is to establish the professional standards, behavioural expectations, and operational principles required of all members of the Get Charlie Business Club (“the Club”).


This Code is designed to promote ethical business practices, professionalism, trust, collaboration, and compliance with applicable New Zealand laws and industry standards.


All members, contractors, suppliers, representatives, and aƯiliates associated with the Club are expected to always comply with this Code. 


2. Professional Conduct


Members must:

  • Conduct themselves professionally, honestly, and respectfully always
  • Represent their business and the Club with integrity and professionalism
  • Treat clients, suppliers, fellow members, and the public fairly and respectfully
  • Deliver services competently and within agreed timeframes
  • Maintain a high standard of communication, presentation, and workmanship
  • Avoid behaviour that may bring the Club into disrepute


Members must not engage in:

  • Harassment, intimidation, bullying, or discrimination
  • Dishonest, misleading, or deceptive conduct
  • Aggressive or abusive behaviour
  • False claims, misrepresentation, or unethical sales practices
  • Conduct that damages client confidence or the reputation of the Club

3. Ethical Business Practices


Members are expected to operate their businesses ethically and lawfully in accordance with New Zealand legislation and accepted business standards.

Members must:

  • Comply with the Fair-Trading Act 1986
  • Comply with the Consumer Guarantees Act 1993
  • Honour contractual obligations and agreements
  • Provide honest pricing and quotations
  • Avoid conflicts of interest wherever possible
  • Disclose any actual or potential conflicts of interest
  • Conduct business transparently and fairly


Members must not:

  • Engage in fraudulent activity
  • Offer or accept bribes, kickbacks, or improper inducements
  • Misuse confidential information
  • Participate in anti-competitive or unlawful business practices

Members must:

  • Support a safe and inclusive work environment



Discrimination based on race, gender, religion, age, disability, ethnicity, sexual orientation, or any protected characteristic will not be tolerated.


5. Health & Safety


All members are responsible for maintaining safe working environments in accordance with the Health and Safety at Work Act 2015.

Members must:

  • Take all reasonably practicable steps to ensure workplace safety
  • Use appropriate safety equipment and procedures
  • Maintain relevant certifications, licences, and training
  • Report hazards, incidents, and near misses appropriately
  • Ensure workers and subcontractors operate safely


Unsafe behaviour or serious safety breaches may result in immediate suspension or termination of membership.


6. Environmental Responsibility


Members are encouraged to operate sustainably and minimise environmental impact.

Members should:

  • Dispose of waste responsibly
  • Reduce pollution and unnecessary waste
  • Use environmentally responsible products and practices where possible
  • Comply with all environmental regulations and local authority requirements


The Club supports continuous improvement in environmental performance and sustainability.


7. Client Relationships


Members must:

  • Treat clients honestly, respectfully, and professionally
  • Respond to client concerns promptly and fairly
  • Protect client confidentiality and privacy
  • Deliver services to agreed standards
  • Avoid misleading advertising or unrealistic promises


Members must not knowingly damage the relationship between clients and the Club.


8. Club Collaboration & Networking


Members are expected to actively contribute to the Club community.

Members should:

  • Support fellow members professionally
  • Share opportunities appropriately
  • Participate positively in Club initiatives and events
  • Encourage collaboration and knowledge-sharing
  • Respect Club systems, policies, and leadership decisions 

9. Approved Suppliers & Procurement


Where applicable, members agree to support approved Club suppliers and procurement arrangements established for operational consistency, pricing efficiencies, and quality control.



Members must:

  • Use approved suppliers where required under Club policy
  • Maintain transparency in purchasing activities
  • Avoid undisclosed commissions or conflicts of interest

10. Confidentiality 


Members may gain access to confidential information relating to the Club, clients, suppliers, or other members.

Members must:

  • Keep confidential information secure
  • Not disclose confidential information without permission
  • Use information only for authorised business purposes
  • Comply with the Privacy Act 2020



Confidential information includes business strategies, pricing, leads, supplier arrangements, and client data.


11. Breaches of the Code


Breaches of this Code may result in:

  • Verbal or written warnings
  • Review of membership status
  • Suspension of membership privileges
  • Termination of membership
  • Referral to legal or regulatory authorities where necessary


The Club reserves the right to investigate alleged breaches fairly and confidentially
